These purchase terms and conditions create a contract (the ”Agreement”) between your company (the ”End User”) and RefinedWiki AB (”RefinedWiki”). This Agreement is an addition to the End User License Agreement (”EULA”) already agreed on between the End User and RefinedWiki when the End User purchased the software (“Software”) made by RefinedWiki. Meaning that all the clauses in the EULA will be applicable and will govern this Agreement too, including but not limited to section 6, 7, 8, 9, 11, 12 & 13.
Introduction to Our Services
This Agreement governs the End Users use of RefinedWiki’s services (”Services”), through which you can buy and subscribe (”Subscription”) to Custom Domain/-s (”Custom Domain”). A Custom Domain is where you can add an extra domain of your choice to your refined.site, which is part of the Software. By setting up a Custom Domain you can replace the default Refined domain with your own domain. A Subscription may be procured through the Services Check-Out (”Check-Out”) interface in the Admin Section of the Software.
Payment Obligations & Termination
For End Users that purchase RefinedWiki’s Services, fees are specified at the Services interface Check-Out and must be paid in advance. Our Services is purchased on a Subscription basis and automatically renew until cancelled in the Admin Section of the Software. If one or more custom domain/-s are added during a billing cycle the fee will be added on the End User’s next invoice. The End User acknowledge and agree that RefinedWiki (or our payment processor) is authorized to charge the End User on a recurring basis. Other than expressly set forth in Our Return Policy in this Agreement, all fees are non-cancelable, non-refundable and non-creditable. RefinedWiki will notify the End User if the price of a Subscription increases. If RefinedWiki cannot charge the End User’s payment method for any reason (such as expiration or insufficient funds), and the End User have not cancelled the Subscription, the End User remain responsible for any uncollected amounts, and RefinedWiki will attempt to charge the payment method as the End User may update the payment method information. RefinedWiki reserves the right to cancel the End User’s Subscription if RefinedWiki is unable to successfully charge the End User’s payment method to renew the End User’s Subscription.
All fees are exclusive of taxes, which RefinedWiki will charge as applicable. The End User agrees to pay any taxes applicable to your use of RefinedWiki’s Services, except for those taxes based on our net income. If the End User is located in the European Union, and provide RefinedWiki with a valid VAT registration number prior to your transaction being processed, all fees are exclusive of any VAT due to the reverse charge (Article 44 of the VAT Directive (2006/112/EC)). The End User represent that you are registered for VAT purposes in your member state. If you do not provide us with a VAT registration number prior to your transaction being processed, we will not issue refunds or credits for any VAT that was charged. If you are required to deduct or withhold any tax, you must pay the amount deducted or withheld as required by law and pay us an additional amount so that we receive payment in full as if there were no deduction or withholding.
Our Return Policy
The End User may terminate the End User’s initial Subscription, for no reason or any reason, by providing notice of termination to RefinedWiki no later than thirty (30) days after the initial purchase date for the Services. In the event the End User terminate the End User’s initial Subscription, at the End User’s request, RefinedWiki will refund the End User the amount paid under such Subscription. The refund will be returned to the card with which the original payment was made or to another card that the End User has added through RefinedWiki’s Services.
Domain Name Ownership
For any Custom Domain the End User adds through RefinedWiki’s Services, RefinedWiki may verify that the End User owns or controls that domain. If the End User do not own or control the domain that the End User specify, then RefinedWiki will have no obligation to provide the End User with the Services.
Notices to the End User shall be sent to the e-mail address specified by the End User in connection with the purchase of the Services. Such notice shall be deemed to have been received by the End User unless the End User can prove otherwise.
Neither us nor End User will be liable by reason of any failure or delay in the performance of its obligations on account of events beyond the reasonable control of a party, which may include denial-of-service attacks, a failure by a third party hosting provider or utility provider, strikes, shortages, riots, fires, acts of God, war, terrorism, and governmental action.
